1. Scope

These Terms of Use govern your access to and use of the websites, applications, and services provided by ScaiLabs B.V. ("ScaiLabs", "we", "us"), located at Smedestraat 2, 6411 CR Heerlen, The Netherlands. Chamber of Commerce (KvK) registration pending.

By accessing or using our services, you agree to be bound by these terms. If you do not agree, please do not use our services.

2. Services

ScaiLabs provides an AI infrastructure platform consisting of various services including, but not limited to: ScaiGrid, ScaiWave, ScaiBot, ScaiCore, ScaiKey, ScaiDrive, ScaiMatrix, ScaiMind, ScaiVault, ScaiSend, ScaiDNS, ScaiCMS, and ScaiSpark (collectively, "the Platform").

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with reasonable notice where possible.

3. Accounts and Access

Some services require an account. You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the confidentiality of your credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorised access

We may suspend or terminate accounts that violate these terms or that we reasonably believe pose a security risk.

4. Acceptable Use

You agree not to use the Platform to:

  • Violate any applicable law or regulation
  • Infringe on the intellectual property rights of others
  • Transmit malware, viruses, or other harmful code
  • Attempt to gain unauthorised access to any part of the Platform
  • Interfere with or disrupt the integrity or performance of the Platform
  • Generate content that is illegal, harmful, threatening, abusive, or otherwise objectionable
  • Use automated systems to scrape, crawl, or extract data beyond what is permitted by our APIs
  • Circumvent usage limits, billing mechanisms, or access controls

5. AI-Generated Content

The Platform provides AI-powered features that generate text, code, and other content. You acknowledge that:

  • AI-generated content may contain errors, inaccuracies, or biases
  • You are responsible for reviewing and validating any AI-generated output before use
  • ScaiLabs does not guarantee the accuracy, completeness, or fitness for purpose of AI-generated content
  • AI-generated content should not be relied upon for medical, legal, financial, or safety-critical decisions without appropriate human review

6. Intellectual Property

The Platform, including its software, design, documentation, and branding, is owned by ScaiLabs B.V. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the Platform without our prior written consent.

Content you create using the Platform remains yours. By using the Platform, you grant us a limited licence to process your content solely for the purpose of providing the services you requested.

7. Data and Privacy

Our handling of personal data is governed by our Privacy Policy. By using the Platform, you agree to the data practices described therein.

For enterprise and platform customers: data processing is further governed by a Data Processing Agreement (DPA), available upon request.

8. Service Levels and Availability

We aim to maintain high availability of all services. However, we do not guarantee uninterrupted access. Planned maintenance windows will be communicated in advance via our status page.

Enterprise customers may be eligible for a Service Level Agreement (SLA) with defined uptime commitments and remedies. Contact us for details.

9. Payment and Billing

Certain services are subject to fees. Where applicable:

  • Pricing is as quoted or as published on our website
  • Usage-based billing is calculated from our platform metering data
  • Invoices are due within 30 days unless otherwise agreed
  • We reserve the right to suspend access for overdue payments after reasonable notice

10. Limitation of Liability

To the maximum extent permitted by Dutch law:

  • ScaiLabs shall not be liable for any indirect, incidental, consequential, or punitive damages
  • Our total liability for any claim shall not exceed the fees paid by you in the 12 months preceding the claim
  • We are not liable for losses resulting from AI-generated content, third-party integrations, or circumstances beyond our reasonable control

11. Indemnification

You agree to indemnify and hold ScaiLabs harmless from any claims, damages, or expenses arising from your use of the Platform, your violation of these terms, or your infringement of any third-party rights.

12. Third-Party Services

The Platform may integrate with or route requests to third-party services (such as external AI model providers). Your use of such services is subject to their own terms. ScaiLabs is not responsible for the availability, accuracy, or policies of third-party services.

13. Modifications

We may update these Terms of Use from time to time. Material changes will be communicated via email or through the Platform. Continued use after changes take effect constitutes acceptance of the updated terms.

14. Governing Law and Jurisdiction

These terms are governed by the laws of the Netherlands. Any disputes shall be submitted to the competent court in Maastricht, the Netherlands.
