ScaiLabs Community License

Version 1.0, May 2026

Preamble#

This License governs the use of software released by ScaiLabs under it. It is a source-available license designed to balance two goals: enabling broad community use, internal deployment, research, and self-hosting, while protecting ScaiLabs' ability to commercially sustain the development of the software.

Two (2) years after the date on which a given version of the Software is first publicly released under this License, that version automatically converts to the Apache License, Version 2.0, with no further action required.

1. Definitions#

1.1 "Licensor" means ScaiLabs B.V., a Dutch private limited company (besloten vennootschap) registered with the Dutch Chamber of Commerce (Kamer van Koophandel) under number 42030699, with registered office at Smedestraat 2, 6411 CR Heerlen, the Netherlands.

1.2 "Software" means the software made available by Licensor under this License, including source code, object code, container images, configuration, and accompanying documentation.

1.3 "Licensee" or "You" means any individual or legal entity exercising rights under this License.

1.4 "Internal Use" means use by Licensee, its employees, contractors, and Affiliates for their own internal business purposes. Internal Use does not include making the Software, or any service whose primary value derives from features of the Software, available to third parties.

1.5 "Affiliate" means any entity that controls, is controlled by, or is under common control with Licensee, where "control" means ownership of more than fifty percent (50%) of the voting interests.

1.6 "Competing Service" means making the Software, or any modified version thereof, available to third parties (whether for a fee or free of charge) as a hosted, managed, or as-a-service offering whose primary value derives from features of the Software.

1.7 "Conversion Date" means the date two (2) years after the date Licensor first publishes the applicable version of the Software under this License.

2. Grant of License#

Subject to the terms and conditions of this License, Licensor grants You a worldwide, royalty-free, non-exclusive, non-sublicensable license to use, copy, modify, create derivative works of, and distribute the Software, solely for the purposes permitted in Section 3 and subject to the restrictions in Section 4.

3. Permitted Use#

You may use the Software for:

(a) Internal Use, including production deployment within Your own organization, with no limit on user count, revenue, or organization size;

(b) Personal, educational, academic, research, or evaluation purposes;

(c) Development of derivative works, plugins, integrations, and applications, provided such uses comply with Section 4;

(d) Redistribution of unmodified copies of the Software, provided all original copyright, trademark, and license notices are preserved and this License accompanies the distribution.

4. Restrictions#

You may not:

(a) Provide the Software, or any derivative work, as a Competing Service to third parties without a separate commercial license from Licensor;

(b) Remove, obscure, or alter any copyright, trademark, attribution, or license notice contained in the Software;

(c) Circumvent, disable, remove, or interfere with any license-key, telemetry, feature-gating, or commercial-edition mechanism embedded in the Software, nor enable others to do so;

(d) Use the name "ScaiLabs," or any product name beginning with "Scai," or any confusingly similar mark, to endorse, promote, or designate derivative works without Licensor's prior written permission;

(e) Use the Software in any manner that violates applicable law, including export control, sanctions, or data protection law.

5. Automatic Conversion to Apache License 2.0#

On the Conversion Date applicable to a given version of the Software, that version of the Software, including the full source code as published by Licensor, is automatically and irrevocably relicensed under the Apache License, Version 2.0. From and after the Conversion Date, You may use, modify, distribute, and otherwise exercise rights in that version of the Software under the terms of the Apache License 2.0 if You so choose. This License continues to govern any version of the Software that has not yet reached its Conversion Date.

6. Trademarks#

This License does not grant any rights to use the trade names, trademarks, service marks, or product names of Licensor, except as required to comply with the notice-preservation obligation in Section 4(b).

7. Patent Grant#

Licensor grants You a non-exclusive, worldwide, royalty-free patent license under Licensor's essential patent claims to make, have made, use, sell, offer for sale, import, and otherwise transfer the Software. This patent license terminates automatically and immediately if You initiate, or knowingly cause to be initiated, patent litigation against Licensor or any other Licensee alleging that the Software, or any contribution incorporated within the Software, infringes a patent.

8. Termination#

This License and the rights granted hereunder terminate automatically upon any breach by You of Sections 4 or 6 that is not cured within thirty (30) days after written notice from Licensor (or immediately, in the case of breach of Section 4(c)). Upon termination, You shall cease all use, copying, and distribution of the Software and destroy all copies in Your possession or control.

Sections 5, 9, 10, 11, and 12 survive termination. Versions of the Software that have reached their Conversion Date and are used solely under the Apache License 2.0 are not affected by termination of this License.

9. Disclaimer of Warranty#

THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED. THE SOFTWARE INCORPORATES ARTIFICIAL INTELLIGENCE AND MACHINE LEARNING COMPONENTS; LICENSOR DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR SUITABILITY OF ANY OUTPUT GENERATED BY SUCH COMPONENTS.

10. Limitation of Liability#

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THIS LICENSE OR THE SOFTWARE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Governing Law and Jurisdiction#

This License is governed by the laws of the Netherlands, excluding its conflict-of-law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any dispute arising out of or relating to this License shall be submitted to the exclusive jurisdiction of the competent court in Limburg, the Netherlands, except that Licensor may seek injunctive or equitable relief in any court of competent jurisdiction.

12. Severability and Entire Agreement#

If any provision of this License is held to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect. This License constitutes the entire agreement between the parties concerning the Software, except where You have obtained a separate commercial license from Licensor, in which case the terms of that commercial license govern to the extent of any conflict.
